TERMS OF SERVICE:
I AGREE WITH TERMS OF SERVICE: Customer agrees that all web design and hosting contract terms are for 12 months. Contracts will auto renew without the express written cancellation from customer, 30 days prior to expiration. Contracts are billed on a month to month basis. Customer will be billed monthly for selected services plus applicable sales tax. All services are prepaid. The Customer will be billed on the 20th of each month. All payments are due on the 1st of the following month. If the account balance is not paid in full by the 5th of each month, the service will be suspended. The Customer will not receive credit for any missed service requests or down time that is caused by suspension. The Customer will be held responsible for any additional issues or charges that may arise due to the absence of service caused by suspension. After 30 days of delinquency, the account will be closed and legal action will be taken to collect any unpaid balances. If Orange, Inc. is unable to collect monies for services rendered, the company will take legal action and file a claim against the Customer, and that Customer will be responsible for any unpaid balances, fees, court costs, and liens. Credits for a partial service request, or absence of a service request that is directly caused by customer not getting the customer content, (ie. Artwork, pictures, written articles etc.), to Orange, Inc. will not be issued. Any separate services performed by Orange, Inc. will be invoiced separately and payable upon completion or delivery. There is a $30.00 processing fee for all returned checks.
OWNERSHIP OF ARTWORK
Until full payment has been made, Orange Inc. retains ownership of all original artwork or parts contained therein, whether preliminary or final. Upon full payment, the client shall obtain ownership of the final artwork to use and distribute as they see fit. Orange Inc retains the right to use the completed project and any preliminary designs for the purpose of design competitions, future publications on design, educational purposes, marketing materials, and portfolio. Where applicable the client will be given any necessary credit for usage of the project elements.
PRODUCTION SCHEDULE/DELIVERY OF PROJECT
The client will assume any shipping or insurance costs related to the project. Any alteration or deviation from the above specifications involving extra costs will be executed only upon approval with the client. The designer shall not incur any liability or penalty for delays in the completion of the project due to actions or negligence of client, or external forces beyond the control of the designer. If such event(s) occur, it shall entitle the designer to extend the completion/delivery date, by at least the time equivalent to the period of such delay.
PROOFING OF FINAL PROJECT
The designer shall make every effort to ensure the final product is free of any grammatical and spelling errors, before publishing the final product to the Internet. It is agreed that it is the client’s responsibility to ensure that there are no spelling or grammatical errors contained in the final product. It is agreed that the designer is not responsible or held liable for any errors contained in the final product after the final product has been committed or posted in view of the public.
CONFIDENTIALITY
All correspondence and documents provided will be treated as confidential between the client and the designer, unless consent has been granted by both parties involved.
ACCEPTANCE OF AGREEMENT
The above prices, specifications and conditions are hereby accepted. The designer is authorized to execute the project as outlined in this agreement. Payment will be made as proposed above. This online submission is your agreement to the terms as set forth in this contract.
